- ① Telechips shall pursue shared growth with all stakeholders, including all corporate executives and employees, customers, partner companies, shareholders, and local communities, and aim to create a transparent and clean corporate culture.
- ② The purpose of this Code is to provide all stakeholders with the appropriate standard for decision-making and ethical judgment in order to comply with Telechips’ code of ethics.
- ① Corporate executives and employees shall work with pride and confidence and shall always maintain an honest and sincere attitude.
- ② Corporate executives and employees shall not engage in any actions which damage the dignity of individuals or the reputation of Telechips and shall uphold high ethical values.
- ③ Corporate executives and employees shall not engage in any unethical or illegal acts which may be detrimental to society in pursuit of their own benefits, such as unreasonable instructions, mediations, requests, and granting of privileges which may hinder the fair performance of their own or others' duties..
- ④ Corporate executives and employees shall not use their position to gain any unreasonable benefits, or to allow others to gain unreasonable benefits.
- ⑤ In performing their duties, corporate executives and employees shall comply with all laws and regulations and not act against their conscience.
- ⑥ No tangible or intangible assets of Telechips shall be leaked illegally or unreasonably disclosed to third parties, and the security related regulations shall be strictly observed.
- ⑦ Money, valuables, and entertainment, among other things shall not be provided to, or received from or by, any person related to the position or duties in connection with the position or duties beyond the scope permitted by social norms, as it may impair fairness.
- ① Telechips and its corporate executives and employees shall always strive to provide the best service possible by accurately understanding the needs and expectations of the customers.
- ② Corporate executives and employees shall listen attentively to the customers' opinions and handle any suggestions and complaints as promptly and fairly as possible.
- ③ Corporate executives and employees shall protect the customers’ assets, intellectual property rights, trade secrets, customer information, among other things with much greater care than even Telechips’ own assets and shall not infringe upon the customers’ interests through any immoral conduct.
- ④ Any facts which the customers need to know or which must be informed to the customers shall be accurately and promptly provided.
- ① Equal opportunities shall be provided to qualified individuals or groups in bidding and contract execution for construction, service, purchase of goods, among other things carried out by Telechips, and fair and reasonable procedures shall be observed.
- ② Any and all transactions shall be conducted in a fair manner and based on a mutually equal position and shall be conducted transparently in an open and normal place of business.
- ③ No one shall abuse his or her superior position in transaction such as by demanding money or valuables, imposing unfair transaction conditions, or making unreasonable demands such as through business interference.
- ④ In all business activities, all parties shall comply with all laws and regulations of the relevant country and region and shall not engage in any act violating the same.
- ① Basic manners required for a harmonious life at work shall be observed, and no acts which cause suffering, such as through words and actions of disrespect or slander of other corporate executives and employees, shall be committed.
- ② There shall be no discrimination based on race, color of skin, nationality, ethnicity, gender, religion, school attended, region of origin, blood ties, political opinion, social status, marriage (pregnancy), disability, among other things where it is related to employment, promotion, compensations, training opportunities, among other things.
- ③ Corporate executives and employees shall be provided with equal opportunities according to their abilities and achievements, evaluated according to fair standards, and provided with compensations fairly.
- ④ No corporate executive or employee shall engage in any unfair solicitation, provision of gifts, or monetary transactions in violation of the Code of Conduct for corporate executives and employees.
- ⑤ No superior shall give unreasonable instructions to any subordinate. Subordinates shall comply with the legitimate instructions of their superior, yet shall refuse any unfair instructions.
- ⑥ No corporate executive or employee shall engage in any act of sexual harassment.
- ⑦ Telechips shall create a pleasant and safe working environment for its corporate executives and employees and shall actively develop and implement programs to improve the quality of life of the corporate executives’ and employees' families, in areas such as health, education, and welfare.
- ① Telechips shall faithfully fulfill its corporate social responsibilities and continuously promote social contribution related activities for the development of the country and the local community.
- ② Telechips and its corporate executives and employees shall strive to help prevent and manage accidents and risks by complying with all safety related laws and standards.
- ③ Corporate executives and employees shall be deeply aware of the importance of environmental issues and comply with all domestic and foreign environmental laws, striving to protect the environment and prevent pollution.
- ④ In conducting international transactions, international agreements and regulations on investment and transaction shall be observed, and the customs and culture of the host country shall be respected.
- ① Telechips shall maximize the corporate value through transparent and efficient management based on continuous innovation, and shall share its performance with the shareholders.
- ② Telechips shall practice transparent management focused on the board of directors, and shall respect all legitimate requests and suggestions of the shareholders.
- ③ Telechips shall prepare disclosure materials including financial statements in accordance with all laws and accounting standards, and shall disclose them in an appropriate, accurate, complete and timely manner in accordance with the relevant laws and regulations.
- ① All transactions conducted in the course of business shall be recorded and managed according to the internal accounting management system.
- ② Corporate executives and employees shall store and properly account for the invoices, receipts and any other related evidence arising out of work, and expenses or holding of assets not recorded in the books shall be prohibited.
- ③ Any and all business, as well as the maintenance of books and records, shall be conducted in accordance with the following appropriate procedures via Telechips’ internal accounting control system.
- ④ All transaction costs shall be prepared in accordance with accounting standards, and then approved by the appropriate approving authority.
- ① Negligence of work, poor work attitude, and poor attendance No corporate executive or employee shall fail to fulfill his or her personal responsibilities, such as through negligence, poor attendance, negligence in management and supervision, unreasonable handling of business, abuse of power, or misuse of authority, thereby causing damages against Telechips.
- ② Development of a culture of cooperation Telechips shall strive to build an organizational culture which enables mutual cooperation based on trust among its employees.
- ③ False reporting No corporate executive or employee shall intentionally conceal, reduce, exaggerate, omit, or delay documents, data, among other things. which are contrary to the facts, thereby obscuring the decision-making and judgment of internal and external stakeholders or causing any misjudgment.
- ④ Unfair acts by and between employees, such as harassment at the place of work No corporate executive or employee shall engage in any act which harms or may harm sound corporate culture, such as verbal abuse, assault, discriminatory treatment, unfair work instructions, personal instructions by using rank or position, spread of rumors about personal affairs, bullying, and speculative entertainment.
- ⑤ Sexual harassment No corporate executive or employee shall engage in any act of sexual harassment, and all corporate executives and employees shall strive to prevent any sexual harassment in the workplace.
- 1. This “Code of Conduct for Basic Ethics of Corporate Executives and Employees” shall be enacted and enforced on January 30, 2004.
- 2. This “Code of Conduct for Basic Ethics of Corporate Executives and Employees” shall be amended and enforced on April 1, 2008.
- 3. This “Code of Ethics” shall be amended and enforced on March 24, 2022.
- 1. The name of this Code of Conduct shall be changed from the “Code of Conduct for Basic Ethics of Corporate Executives and Employees” to “Code of Ethics.”

- a. Soliciting or receiving bribes (including money and gifts) and entertainment from trading partners
- b. Monetary transactions between trading partners and employees
- c. Embezzlement or theft of company funds and assets, and attempts to do so
- d. Matters related to workplace bullying
- e. Disclosure of company information (all information related to the company’s tangible and intangible assets, such as sales information and R&D materials)
- f. Other misconduct, such as improper handling of work and talent poaching.
- Telechips fully protects the identity of all whistleblowers and strictly prohibits any acts of disclosure, retaliation, or tracking down of a whistleblower. We protect whistleblowers from any adverse consequences related to their reporting, such as in their employment relationship with the employer or any other aspect.
